How do I transfer my shares?

In order to transfer your shares you will need to send the original stock certificate, signed by all of the owners shown on the front of the certificate. The signatures can be placed either on the actual stock certificate or on a Stock and Bond Power. Each signature will need to be Medallion Signature Guaranteed. In addition, if the certificate is issued to a corporation, partnership, trust, or to a deceased person, a copy of all legal documentation giving the person signing the right to represent the owner must be attached. These documents include: powers of attorney, board of directors resolutions, trustee appointments, death certificates, copies of the will, etc.

You will need to identify how you want the new certificates issued by listing the name(s), address, social security number or federal tax ID number, and number of shares for each certificate. There is a fee of $20 for each certificate issued. A check, money order, or Credit Card Payment Form must be received prior to the transferring of your shares. Make checks and money orders payable to “Action Stock Transfer”.

We also need to know where and how we are sending your new certificates back to you. Please tell us if the certificates are to be sent back to you or to the new shareholders. We will mail your new certificates back to you via the US Postal Service’s first class mail free of charge. If you would like your certificates sent via an overnight service such as Federal Express or UPS, we will need an account number or a prepaid airbill.

What is a Medallion Signature Guarantee?

A Medallion Signature Guarantee is different than a notary stamp because it guarantees and protects transfer agents and corporate stock issuers against fraudulent transactions. Financial institutions that provide Medallion Signature Guarantees must subscribe to this program and be issued a Medallion Guarantee Stamp. Some financial institutions that provide Medallion Signature Guarantees are stock brokerage firms, banks, and credit unions. A stock transfer agent cannot accept a stock certificate for transfer without a Medallion Signature Guarantee unless the certificate is being transferred into the exact same name.

How do I have a restricted legend removed from my shares?

If you have owned your shares for over one year and have not been an officer, director, or control person of the public company for the past ninety days, you can submit your shares to have the restrictive legend removed. If the public company files periodic reports with the SEC (10-Ks and 10-Qs) and you have owned your shares for at least six months, but less than one year, you may sell your shares as long as the public company is current in its reporting requirements. You will only be able to have the restriction removed from the shares that you are selling. The public company may require a legal opinion before it gives consent to have the restriction removed. Please contact us to see if a legal opinion is required for your shares. In addition to the transfer guidelines listed above, a Restriction Removal Request Form must be completed and included. There is a $25 fee per shareholder account to remove a restrictive legend, plus the cost to issue the new certificate(s) as stated above.

How do I replace my lost stock certificate?

If you have lost your stock certificate you will first need to complete a Lost Stock Affidavit. Send the original, notarized Lost Stock Affidavit to our office along with a check for 2% of the value of the stock certificate or $50, whichever is greater, made payable to “Travelers Insurance Company” and a check for $20 payable to “Action Stock Transfer” for the issuance of the replacement certificate. Upon receipt of these items we will issue the replacement certificate and mail it back to you.

I recently got married. How do I change my name on my certificate?

In order to change your name on your stock certificate to your new legal name, send us a letter instructing us to change your name, and possibly your address, along with your original certificate, a copy of your legal document (eg, marriage license) and a check for $20 payable to Action Stock Transfer and we will issue you a new stock certificate and mail it right back to you.
